Technology is galloping ahead at increasing speed and it is becoming increasingly difficult to keep up.

Join us for a talk about lessons learnt from Patagonia and GAP Inc and a Q&A with a visiting entrepreneur Tetsuya O’Hara!

Tetsuya O’Hara is the Vice President of Innovation and Global Innovation & Performance CoE (Aro) for Gap Inc. In this role, Tetsuya and his team identify and define the game changing innovation strategy, and seamlessly feed commercially viable product to all five of Gap Inc.’s brand portfolio: Gap, Banana Republic, Old Navy, Athleta, and Hill City.

Tetsuya began his career at Teijin in Osaka, Japan, where he led sailcloth R&D from 1985 until 1995, and developed high-tech sailcloth for America’s Cup boats. In 1996, he moved his family to Connecticut to work for Dimension Polyant, where he designed light weight composite materials for NASA’s 400-meter environmental research balloon, and incorporated sailcloth technology for a drumhead widely used in the music industry. From 2003 until 2016, he worked for Patagonia in Ventura, California, and served as the Director of Material Development, Director of Advanced R&D, and Director of Innovation Research, in that order. There he executed a series of radical eco-innovation for the company’s product lines. One of his signature projects was making a wetsuit out of Guayule, a native plant from Arizona that requires no petroleum. He also discovered a plasma technology on down and spearheaded on Patagonia’s limited-edition Encapsil Down Belay Parka, which set new standards in lightness and warmth. Tetsuya also charged R&D of Merino Air that was chosen gold winner in base layer category at ISPO Award 2015.

The United States Patent Office approved his scientific inventions and granted him seven patents.
He has a bachelor’s degree in economics from Doshisha University in Kyoto, Japan and a MBA from Pepperdine University. He also completed the Executive Education Program at Harvard Business School, Stanford Graduate School of Business, and Massachusetts Institute of Technology.

Tetsuya is a member of the advisory board at University of St Andrews School of Management and MIT Sports Technology and Education.

Tetsuya will meet us to share his journey for innovation and sustainability and a way to create a responsible business based on his experiences at Patagonia and Gap Inc.

The company helps clients across all sectors navigate the complexity of turning ideas into valuable products and services and runs the Innovate Queensland and Female Founders skills and collaboration programs.

He has formed 4 startups raising between $400k and $2m as seed rounds, has headed up a further 6 startups and sits on a number of industry and commercial boards. Brian is regularly engaged by the Department of Innovation to present on grant programs and has extensive experience as an assessor on grants and tenders.

Tak Woo is the Managing Director and founder of OntheNet, the largest telecommunications Carrier on the Gold Coast. Tak is responsible for the management of the company as well as roll out of infrastructure.
Prior to founding OntheNet, Tak was a Research Scientist at the Distributed Systems Technology Centre with numerous International and Domestic publications. Tak holds a B.S. in Mechanical Engineering (University of Southern California) and M.S. in Computer Science (Bond University).

Dan Wright is the Director of FlowGetic, a Gold Coast based business coaching & advisory firm, an Associate of AltusQ, a national Leadership & Executive Coaching firm and Founding Vice President Operations of the European Mentoring and Council Asia Pacific Region. Dan works with business owners, senior leaders in private and public organisations on the Gold Coast and throughout SE Queensland. Dan’s work focuses on supporting business owners to grow or overcome significant challenges, and coaching individuals and teams to move successfully through significant business and organisational change.

Get your software development R and D Tax Incentive claims right

The purpose of the R&D Tax Incentive is to encourage companies to conduct experimental R&D activities that might not otherwise be undertaken. This guidance highlights key issues that companies and their tax advisors must consider when assessing the eligibility of specific software-related activities for registration under the R&D Tax Incentive. In particular, it highlights issues relating to:

• the registration of whole or large parts of software development projects

• the software development lifecycle and core R&D activities

• testing activities which are not core R&D activities

• a knowledge gap that requires an experiment to resolve, and

• other problem areas that companies and their R&D tax advisers most frequently get wrong.

The new Software Development guidance released follows earlier material from AusIndustryindicating concerns over inappropriate claims for Software Activities, and reports in the media of large software development R&D claims being found to be ineligible during review.

The general principles within this new guidance remains consistent, in that claimants must demonstrate how their software is generating new technical knowledge, rather than merely applying existing knowledge.

Summary

Eligible core R&D is not learning how to use existing products, technologies or techniques in the manner in which they are designed to be used. Eligible R&D is not using such products, technologies or techniques in a specific application.

When companies choose to register R&D activities relating to software development, they must demonstrate for each core R&D activity they wish to register:

• how the experimental activity was carried out

• that the activity was conducted for a significant purpose of generating new knowledge

• how the activity applied a systematic progression of work, and

• that the outcomes could not be known or determined in advance on the basis of current knowledge, information or experience.

Companies must clearly explain the activities and support the explanation with evidence.

It will not be sufficient for a company claiming a core R&D activity to rely on propositions such as:

• a specific product or functionality has not been developed before

• activities are eligible because they were undertaken through a software development lifecycle

• all software development activities involve a regime of testing (e.g. bug testing, beta testing, user acceptance testing) and for this reason they are all experimental with an outcome that cannot be known in advance

• the ‘Agile’ methodology doesn’t involve the production of supporting documentation

• the activities involve experiments but the records don’t go to that level of detail

• there are existing ways that are known to work, but only one will be the most efficient and that can’t be known without testing.

Typical issues encountered during ATO R&D audits (Common Errors)

While software development is often innovative, it does not always meet the definition of eligible R&D activities for the purpose of the R&D Tax Incentive. Software developers tend to use the term ‘R&D’ to refer to a broad range of activities, many of which may not meet the definition of core R&D activities as they are routine in nature. This different use of terminology can cause confusion and potentially expensive errors in claiming

Below are some common errors that companies and their tax advisors make when claiming the R&D Tax Incentive for software development activities.

Claiming for whole projects, not individual activities
Assuming that activities are automatically eligible because they follow a software development lifecycle
Failing to identify a specific technical knowledge gap
Routine’ debugging and testing of existing systems and programs (unless this is done prior to the end of the experimental development process)
Claiming for activities related to the development of internal administration software
Not documenting R&D activities at the time they are conducted (Not keeping contemporaneous documentation)

R&D audits have increased in recent years. No organisation is immune to auditing, and every company needs to be prepared to defend itself in case the ATO or AusIndustry comes knocking.
